What are the 6 essential elements of a contract?

Editorial team Published on

A valid and legally binding contract requires six essential elements: offer, acceptance, awareness, consideration, capacity, and legality.

For more details on how these rules apply, you can check the Thomson Reuters Legal Guide.

The 6 Essential Elements

  • Offer: One party proposes specific terms and duties to another party. It sets the exact expectations of the agreement.
  • Acceptance: The second party agrees to the offer without changes. This can happen via a signature, a verbal confirmation, or clear performance.
  • Awareness (Mutual Assent): Both sides must understand they are entering a legal agreement. The contract is void if it involves fraud, duress, or misrepresentation.
  • Consideration: Both parties must exchange something of value. This can be money, goods, services, or a promise to do (or not do) something.
  • Capacity: All signatories must have the legal competency to understand the terms. This excludes minors, intoxicated individuals, or people with cognitive impairments.
  • Legality: The agreement must comply with local, state, and federal laws. A contract that asks a party to break the law is not enforceable.
